Cult Trade — Terms & Conditions of Business
Effective Date: Friday, 14th November 2025
These Terms and Conditions apply to all business-to-business (“B2B”) / trade sales made by Cult Furniture Ltd (“Cult”, “we”, “us”, “our”). Cult Trade refers to the business-to-business section of www.cultfurniture.com/cult-trade.
These Terms apply to the exclusion of any other terms the Buyer seeks to impose or incorporate
1. Definitions
- Buyer means the business customer purchasing Goods from Cult.
- Goods means all furniture, fittings, accessories and related products supplied by Cult.
- Contract means the agreement between Cult and the Buyer incorporating these Terms together with any quotation, pro forma invoice, order acknowledgement or agreed specification.
- Made to Order Goods includes bespoke, customised, made to measure and customer specified products, including Banquette Seating, upholstery using Customer's Own Material (COM) and products identified as made to order.
- Delivery Location means the address specified by the Buyer.
- Price means the amount payable for the Goods together with VAT where applicable
2. Basis of Contract
2.1 A Contract is formed once Cult accepts the Buyer's order and payment has been received unless otherwise agreed in writing.
2.2 Quotations remain valid for 30 days unless otherwise stated.
2.3 These Terms apply solely to B2B transactions.
2.4 Consumer cancellation rights do not apply.
2.5 No variation of the Contract shall be effective unless agreed in writing by Cult.
3. Price & Payment
3.1 Prices exclude delivery, installation and specialist services unless expressly stated.
3.2 VAT shall be charged at the prevailing rate.
3.3 Title to the Goods remains with Cult until all sums due have been paid in full.
3.4 Risk passes upon delivery or collection.
3.5 Late payment may incur interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998.
4. Delivery
4.1 Delivery dates are estimates only.
4.2 The Buyer is responsible for ensuring safe and suitable access.
4.3 Failed deliveries caused by the Buyer may result in storage, redelivery and associated charges.
5. Order Amendments
5.1 Amendment requests must be received in writing within 60 minutes of ordering.
5.2 Requests received after 12:00 UK time cannot be guaranteed.
5.3 Once Goods enter processing, production or dispatch, amendments may be refused.
6. Failed Delivery
6.1 Additional costs arising from failed deliveries caused by the Buyer shall be payable by the Buyer.
6.2 Sofa redelivery charge: £75 + VAT.
6.3 Dedicated vehicle deliveries may be recharged at full cost.
7. MADE TO ORDER GOODS
7.1 Minor variations in colour, finish, grain and dimensions are customary within the furniture industry.
7.2 The Buyer is responsible for approved specifications and measurements.
7.3 Made to Order Goods may only be cancelled within 48 hours where production has not commenced.
7.4 Once production has commenced, Made to Order Goods cannot be cancelled, amended or returned except where they do not conform to the Contract.
8. DELIVERY INSPECTION, DAMAGE & CLAIMS
8.1 The Buyer must inspect all Goods immediately upon delivery and before assembly, installation or use.
8.2 Visible transit damage, shortages, missing items, incorrect Goods or issues reasonably identifiable on delivery must be reported in writing within 48 hours.
Failure to notify Cult within this period shall be deemed acceptance that the Goods were delivered in satisfactory condition unless the Buyer can demonstrate the issue could not reasonably have been identified during inspection.
8.3 Manufacturing defects that could not reasonably have been identified during the initial inspection must be reported as soon as reasonably practicable after discovery and within the applicable warranty period.
Claims submitted after the applicable reporting period may still be considered where the Buyer can demonstrate that the alleged manufacturing defect could not reasonably have been identified during the initial inspection.
8.4 The Buyer must immediately cease using any Goods once a suspected defect becomes apparent.
8.5 Claims must include the order number, photographs, product labels where applicable and any further information reasonably requested.
8.6 Goods must not be repaired, altered, modified or disposed of without Cult's prior written consent.
8.7 The Buyer shall provide reasonable access for inspection where reasonably requested.
9. RETURNS OF UNWANTED GOODS (STANDARD PRODUCTS ONLY)
9.1 As these Terms apply solely to B2B transactions, the Buyer has no statutory right to cancel or return unwanted Goods.
9.2 Cult may, at its absolute discretion, accept the return of standard stock Goods.
9.3 Return requests must be made in writing within 14 days of delivery.
9.4 Returned Goods must be unused, unassembled, complete, in the original packaging wherever reasonably possible and in a condition suitable for immediate resale.
9.5 Made to Order Goods, Banquette Seating, bespoke products, customised products and COM products cannot be returned unless faulty or not in conformity with the Contract.
9.6 Collection charges apply as follows:
Small Items: £14.95 per box (Dining Chairs, Office Chairs, Stools, Lighting and Accessories).
Large Items: £39.95 per item (Accent Chairs & Armchairs, Large Mirrors, Tables, Storage Furniture and Beds).
Sofas: £75 per item (all sofa sizes).
Collection charges will be deducted from any refund due.
9.7 Original delivery charges are non refundable.
9.8 Cult reserves the right to deduct a restocking charge of up to 20% of the purchase price where returned Goods are not received in a condition suitable for immediate resale and the condition is not attributable to Cult, the carrier or circumstances beyond the Buyer's reasonable control.
Examples include assembled Goods, damaged packaging, missing components, signs of use, scratches, marks or Goods requiring cleaning or repackaging.
9.9 Approved refunds will only be processed after inspection of the returned Goods. Applicable collection charges and restocking charges will be deducted before any refund is issued.
10. WARRANTY
10.1 Goods are warranted for 12 months against manufacturing defects.
10.2 The warranty excludes fair wear and tear, misuse, accidental damage, incorrect assembly, unauthorised repairs or alterations, COM issues and continued use after a defect becomes apparent.
10.3 Cult may repair, replace or refund defective Goods at its sole discretion.
Please note that once the goods have been delivered to the UK address provided or collected, any onward export or international transport is arranged at the purchaser’s risk and responsibility. As we only operate within the UK, we are unable to support returns, replacements or warranty claims once goods leave the UK. For this reason, we strongly recommend that all items are checked carefully before they leave the UK.
In addition, we are unable to provide export or customs documentation. The only documents we can supply are the sales invoice and packing list.
11. LIMITATION OF LIABILITY
Nothing in these Terms excludes liability that cannot lawfully be excluded. Subject to this, Cult's total liability shall not exceed the amount paid for the affected Goods. Cult shall not be liable for indirect or consequential loss, loss of profit, revenue, goodwill or business interruption.
12. FORCE MAJEURE
Cult shall not be liable for delays caused by events beyond its reasonable control.

We reserve the right, at our sole discretion, to update, change or replace any part of these Terms of Service by posting updates and changes to our website. It is your responsibility to check our website periodically for changes. Your continued use of or access to our website or the Service following the posting of any changes to these Terms of Service constitutes acceptance of those changes.
GOVERNING LAW
These Terms are governed by the laws of England and Wales and the courts of England and Wales shall have exclusive jurisdiction.
