These Terms and Conditions apply to all business-to-business (“B2B”) sales made by Cult Furniture Ltd, referred to throughout as “Cult” or “we”. Cult Trade refers to the business-to-business section of our website at www.cultfurniture.com/trade
1. Definitions
- “Seller”, “Cult”, “we”, “us”, “our” means Cult Furniture Ltd.
- “Buyer” means the trade customer placing an order with Cult.
- “Goods” means any furniture, fittings or other products supplied by Cult.
- “Contract” means the agreement for the sale and purchase of Goods, incorporating these Terms and any written quotation, pro-forma invoice or specification agreed between the parties.
- “Made to Order Goods” means any Goods made, modified or finished to a Buyer’s custom specification, including where the Buyer provides COM (Customer’s Own Material). This category specifically includes Cult Trade product ranges listed under “Trade - Made to Order” and “Trade - Banquette Seating” on our website.
- “Delivery Location” means the address specified for delivery in the Contract.
- “Price” means the total amount payable for the Goods, inclusive of VAT unless otherwise stated.
These Terms apply to the exclusion of any other terms, including those the Buyer seeks to impose or incorporate, or which are implied by trade, custom or practice.
2. Basis of Contract
2.1 All quotations are provided for information purposes only and do not constitute a binding offer. Quotations remain valid for 30 days unless otherwise stated.
2.2 A Contract is formed when payment has been made in full, unless Cult has expressly agreed in writing to accept a deposit.
2.3 No variation or amendment shall be effective unless confirmed in writing by Cult.
2.4 Orders for Made to Order Goods are binding once payment has been received (in full or by agreed deposit) and may not be cancelled or amended without Cult’s written consent.
2.5 Lead times for Goods vary and will be confirmed in writing at quotation or on the pro-forma invoice, subject to material and supplier availability.
3. Price & Payment
3.1 All prices are inclusive of VAT, unless otherwise stated.
3.2 The Price includes standard packaging and handling; delivery and installation options will be quoted separately according to the Buyer’s needs.
3.3 Cult may adjust the Price to reflect increases in material or shipping costs that arise after quotation but before order confirmation, provided notice is given to the Buyer.
3.4 Unless otherwise agreed in writing, payment in full is required before production or dispatch of Goods.
3.5 Accepted payment methods are: bank transfer (BACS), debit or credit card, and PayPal.
3.6 No late-payment charges apply, as production does not commence until payment has cleared.
3.7 Title to the Goods remains with Cult until payment in full has been received.
3.8 Risk passes to the Buyer upon delivery (or collection if arranged).
4. Delivery
4.1 Delivery dates are estimates only and depend on the lead time specified in the quotation.
4.2 Cult will use reasonable endeavours to deliver by the agreed date, but shall not be liable for delays beyond its control.
4.3 The Buyer must ensure adequate access and safe conditions for delivery and installation.
4.4 Delivery options can be tailored to the Buyer’s requirements and will be quoted accordingly, including:
- Room-of-choice delivery
- Packaging removal and disposal
- Standard kerbside delivery
4.5 If the Buyer fails to accept delivery on the agreed date, Cult may store the Goods at the Buyer’s risk and expense and invoice for full payment as if delivery had occurred.
4.6 Any visible damage or shortage must be reported within 48 hours of delivery.
5. Specifications & Made to Order Goods
5.1 Dimensions, colours and finishes are approximate; minor variations are customary in the trade and not grounds for rejection.
5.2 For Made to Order Goods (including “Trade - Made to Order” and “Trade - Banquette Seating” products), Cult relies on the accuracy of the Buyer’s specifications, drawings or samples. The Buyer is responsible for ensuring these are correct and suitable for the intended use.
5.3 Cult may make minor design or material adjustments to improve durability or availability without prior notice.
5.4 Made to Order Goods cannot be cancelled, refunded or returned once production has commenced, except where the Goods are faulty or do not conform to the Contract. This does not affect the Buyer’s statutory rights regarding defective goods.
Fabric Supply and Responsibility
5.5 Fabrics used in the manufacture of Made to Order Goods are not manufactured by Cult and are obtained from external fabric suppliers.
5.6 The Buyer is responsible for checking and approving fabric samples and ensuring the correct specification for their intended use. Written confirmation of the chosen fabric must be provided before production.
5.7 Cult can, at the Buyer’s request, order fabrics from an external supplier on the Buyer’s behalf, provided the Buyer specifies the exact fabric name, supplier and colour code.
5.8 Fabric swatch books supplied by Cult are examples of fabrics available to use and are not manufactured, owned or warranted by Cult.
5.9 Cult accepts no liability for defects, delays or colour variations in third-party fabrics, whether supplied directly by the Buyer or ordered by Cult on their behalf.
Customer’s Own Material (COM)
5.10 Where the Buyer supplies COM directly: materials must be clearly labelled, delivered on time, and comply with all relevant safety and fire regulations. Cult accepts no liability for defects or damage in COM materials. Unused COM will be disposed of unless a return is agreed in writing.
6. Warranty
6.1 Cult warrants that Goods will conform materially to their description and be free from manufacturing defects for 12 months from delivery.
6.2 This warranty excludes normal wear and tear, natural variations, misuse, improper storage or cleaning, unauthorised repairs, and issues arising from third-party fabrics or COM materials.
6.3 Cult may (at its discretion) repair, replace or refund defective Goods.
6.4 Replacement does not extend the original warranty period.
6.5 Defects must be reported in writing within 7 days of discovery, with photographic evidence.
7. Returns
7.1 Returns of standard (non-Made to Order) Goods may be accepted at Cult’s discretion within 14 days of delivery, if unused and in original packaging, subject to inspection upon return and a restocking charge where applicable.
7.2 Made to Order Goods are non-returnable and non-refundable, except where faulty or not in conformity with the Contract.
8. Limitation of Liability
8.1 Nothing in these Terms limits or excludes Cult’s liability for death or personal injury caused by its negligence, fraud or fraudulent misrepresentation, or any other liability which cannot legally be excluded.
8.2 Subject to clause 8.1, Cult shall only be liable for direct loss or damage arising from its own negligence or breach of contract in relation to the manufacture, supply or delivery of the Goods.
8.3 Cult’s total liability to the Buyer under or in connection with the Contract (whatever the cause) is limited to the total Price paid for the Goods.
8.4 Cult is not liable for loss or damage arising from:
- delays or defects in materials supplied by external fabric or component manufacturers;
- incorrect or incomplete specifications or instructions from the Buyer;
- the Buyer’s selection or approval of any fabric or finish, whether supplied directly or ordered by Cult on the Buyer’s behalf;
- normal variations in colour, grain, texture or finish customary within the trade;
- misuse, neglect, improper installation or failure to follow care instructions; or
- the Buyer’s failure to inspect or report visible damage within the stated period.
8.5 Cult shall not be liable for loss of profit, revenue, goodwill, business interruption, or any indirect or consequential loss.
8.6 These limitations apply even if Cult has been advised of the possibility of such loss and shall survive termination or expiry of the Contract.
9. Intellectual Property
All designs, drawings and images supplied by Cult remain its property and must not be copied or used without written consent.
10. Force Majeure
Cult is not liable for delay or failure caused by events beyond its reasonable control (including industrial action, transport delays or shortages of materials). If such delay continues for over 90 days, either party may terminate the Contract by written notice.
11. Termination
Either party may terminate immediately by written notice if the other commits a material breach not remedied within 30 days or becomes insolvent. On termination, all sums due become immediately payable.
12. Law & Jurisdiction
These Terms and all Contracts are governed by English law, and both parties submit to the exclusive jurisdiction of the courts of England and Wales.
13. General
Failure or delay to enforce a right does not waive it. If any provision is held invalid, the remainder remains in force. These Terms supersede all prior agreements.
14. Data Protection
Cult Furniture Ltd will process personal data provided by the Buyer in accordance with its Privacy Policy. Personal data will only be used for order fulfilment, customer service, and legitimate business administration purposes.

We reserve the right, at our sole discretion, to update, change or replace any part of these Terms of Service by posting updates and changes to our website. It is your responsibility to check our website periodically for changes. Your continued use of or access to our website or the Service following the posting of any changes to these Terms of Service constitutes acceptance of those changes.
