Cult Trade - Terms & Conditions

These Terms and Conditions apply to all business-to-business (“B2B”) / trade sales made by Cult Furniture Ltd (“Cult”, “we”, “us”, “our”). Cult Trade refers to the business-to-business section of www.cultfurniture.com/cult-trade.

These Terms apply to the exclusion of any other terms the Buyer seeks to impose or incorporate

• Buyer means the trade customer placing an order with Cult.
• Goods means all furniture, fittings and related products supplied by Cult.
• Contract means the agreement incorporating these Terms, together with any quotation, pro-forma invoice or agreed specification.
• Made to Order Goods means all bespoke, customised or made-to-measure items manufactured or adapted to the Buyer’s specification. For the avoidance of doubt, this expressly includes Banquette Seating, upholstery using Customer’s Own Material (COM), and all products listed under “Trade – Made to Order” and “Trade – Banquette Seating”.
• Delivery Location means the address specified in the order confirmation.
• Price means the total amount payable including VAT unless otherwise stated.

2.1 A Contract is formed once payment has been received in full, unless otherwise agreed in writing.

2.2 Quotations are valid for 30 days unless stated otherwise.

2.3 These Terms apply strictly to B2B transactions. Statutory consumer cancellation rights do not apply.

2.4 No amendment to a Contract is valid unless confirmed in writing by Cult.

3.1 All prices include VAT unless stated otherwise.

3.2 Delivery, installation and specialist services are charged separately where applicable.

3.3 Title to Goods remains with Cult until full payment is received.

3.4 Risk passes to the Buyer upon delivery or collection.

4.1 Delivery dates are estimates only and not guaranteed.

4.2 The Buyer must ensure safe and suitable access at the Delivery Location.

4.3 If delivery cannot be completed due to the Buyer’s act or omission, Cult may store the Goods at the Buyer’s risk and expense and invoice as if delivery had occurred.

4.4 Visible damage or shortages must be reported within 48 hours of delivery.

5.1 Orders are processed promptly upon confirmation and payment.

5.2 Any request to:

• hold an order,
• amend the Delivery Location,
• amend contact details, or
• amend the Goods ordered,

must be received in writing within 60 minutes of placing the order.

5.3 Cult operates a strict daily operational cut-off. Requests received after 12:00 midday (UK time) may not be capable of being actioned. In-stock Goods are prepared for dispatch and transferred to courier partners from 1:00pm on working days.

5.4 Once Goods have entered picking, production, processing or dispatch, changes cannot be guaranteed.

5.5 Where amendments are requested after processing has begun and Cult agrees to implement such changes, the original delivery charge will not be refunded and a new delivery charge will apply.

5.6 The Buyer is solely responsible for providing accurate and complete delivery details. Any additional costs arising from incorrect or incomplete information will be chargeable.

6.1 Where delivery fails due to:

• incorrect address details,
• failure to accept delivery,
• restricted or unsafe access,
• site not ready, or
• any act or omission of the Buyer,

the Buyer shall be responsible for all reasonable additional costs incurred.

6.2 If delivery arrangements must be cancelled and rebooked due to amendment requests, address changes, order holds or product amendments after processing has commenced, the delivery fee will be charged again.

6.3 For sofas delivered via a two-person courier service, a fixed redelivery charge of £75 + VAT will apply to failed deliveries or reattempts.

6.4 Where a dedicated vehicle or specialist courier has been booked, any failed delivery or reattempt shall result in the full delivery cost being recharged.

6.5 Where Goods are returned due to failed delivery or refusal without prior written agreement, Cult may charge storage, redelivery and collection costs and may treat the matter as an unwanted return under clause 8.

6.6 All charges represent recovery of genuine commercial costs and are not penalties.

7.1 Minor variations in dimensions, finish, grain, texture or colour are customary within the furniture industry and do not constitute defects.

7.2 Cult relies on the accuracy of all measurements, drawings, specifications and fabric selections approved by the Buyer.

Cancellation – Made to Order & Banquette Seating

7.3 Made to Order Goods, including Banquette Seating, are manufactured to the Buyer’s specific requirements and cannot ordinarily be resold.

7.4 Orders for Made to Order Goods may only be cancelled within 48 hours of order confirmation, provided production has not commenced.

7.5 Production is deemed to have commenced when Cult:

• orders bespoke or non-stock materials,
• cuts fabric or materials,
• allocates manufacturing capacity,
• begins fabrication, upholstery or assembly.

7.6 Once production has commenced, Made to Order Goods (including Banquette Seating) cannot be cancelled, amended, refunded or returned except where faulty or not in conformity with the Contract.

7.7 If cancellation is requested after costs have been incurred but before full production progresses, Cult reserves the right to charge for all costs reasonably incurred to the date of cancellation.

7.8 Cult is not liable for colour variation, delay or defects in third-party fabrics or COM supplied by the Buyer.

8.1 Returns of standard (non-Made to Order) Goods may be accepted at Cult’s discretion within 14 days of delivery, provided Goods are unused, unassembled and in original packaging.

8.2 As these Terms apply to B2B transactions, there is no automatic right to cancel or return Goods.

8.3 Original delivery charges are strictly non-refundable for unwanted orders.

8.4 Where Cult arranges collection of unwanted Goods, the following collection fees apply:

Small Items – £14.95 per box

• Office Chairs
• Stools
• Lighting
• Accessories

Large Items – £39.95 per box

• Accent Chairs & Armchairs
• Large Mirrors
• Tables
• Storage Furniture
• Beds

Sofas – £75 per item

• All sofa sizes

8.5 Collection fees are chargeable for unwanted returns and will be deducted from any refund due.

8.6 Delivery fees are not refunded for unwanted orders. Collection fees are chargeable unless the relevant Goods are confirmed to be faulty or not in conformity with the Contract.

8.7 In the case of faulty or incorrect Goods, Cult will provide a repair, replacement or refund for the affected item(s) only. Cult will not refund the full order where only part of the order is faulty or incorrect.

9.1 Goods are warranted for 12 months against manufacturing defects.

9.2 This warranty excludes fair wear and tear, misuse, improper storage, unauthorised repairs and COM-related issues.

9.3 Cult may repair, replace or refund defective Goods at its discretion.

9.4 Replacement does not extend the warranty period.

10.1 Nothing excludes liability for death or personal injury caused by negligence, fraud, or liability which cannot lawfully be excluded.

10.2 Subject to clause 10.1, Cult’s total liability shall not exceed the Price paid.

10.3 Cult shall not be liable for loss of profit, revenue, goodwill, business interruption or consequential or indirect loss.

Cult is not liable for delay or failure caused by events beyond reasonable control. If such delay exceeds 90 days, either party may terminate by written notice.

These Terms are governed by English law. The courts of England and Wales have exclusive jurisdiction.

We reserve the right, at our sole discretion, to update, change or replace any part of these Terms of Service by posting updates and changes to our website. It is your responsibility to check our website periodically for changes. Your continued use of or access to our website or the Service following the posting of any changes to these Terms of Service constitutes acceptance of those changes.
